End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Memorion ("Company," "we," "us," or "our") for the use of the Memorion mobile application ("App"), including all related services, features, and content. By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the App.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial purposes, subject to this Agreement.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the App
  • Reverse engineer, decompile, or disassemble the App
  • Use the App for any unlawful purpose
  • Remove any copyright, trademark, or other proprietary notices from the App

2. Age Requirements

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to this Agreement on your behalf.

3. Conversation Recording and User Responsibilities

3.1 Consent Obligations

The App enables you to record, transcribe, and process conversations. You are solely responsible for:

  • Obtaining informed consent from all participants before recording any conversation
  • Complying with all applicable local, state, national, and international laws regarding audio recording and wiretapping
  • Understanding that certain jurisdictions require all-party consent for recording conversations

3.2 Disclaimer of Liability

Memorion provides the recording and transcription tools as a technology platform. We do not monitor, verify, or control whether you have obtained proper consent from conversation participants. Memorion shall not be liable for any legal consequences arising from your failure to obtain proper consent or your violation of applicable recording laws.

4. AI-Generated Content

4.1 Nature of AI Content

The App uses artificial intelligence to generate conversation summaries, action items, memory entries, chat responses, and other content ("AI-Generated Content"). You acknowledge and agree that:

  • AI-Generated Content may contain inaccuracies, errors, omissions, or hallucinations
  • AI-Generated Content is provided for informational and convenience purposes only
  • AI-Generated Content does not constitute professional advice of any kind, including but not limited to legal, medical, financial, psychological, or therapeutic advice
  • You should independently verify any AI-Generated Content before relying on it for important decisions

4.2 No Professional Advice

The App is not a substitute for professional services. Do not rely on AI-Generated Content for medical diagnoses, legal decisions, financial planning, or any situation where inaccurate information could cause harm.

5. Acceptable Use Policy

You agree not to use the App to:

  • Record conversations without the knowledge and consent of all participants
  • Create, store, or distribute content that is sexually explicit, pornographic, or obscene
  • Promote violence, terrorism, self-harm, or harm to others
  • Engage in hate speech, harassment, bullying, stalking, or discrimination
  • Conduct surveillance or monitoring of individuals without their consent
  • Violate any applicable law, regulation, or third-party rights
  • Interfere with or disrupt the App's operation or security
  • Attempt to gain unauthorized access to the App's systems or other users' data
  • Use the App for any commercial purpose without our prior written consent

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

6. Reporting Objectionable Content

If you encounter content within the App that you believe violates this Agreement or is otherwise objectionable, you may report it using the in-app reporting feature or by contacting us at support@memorion.me. We will review reports and take appropriate action.

7. Data and Privacy

7.1 Data Collection

Your use of the App is subject to our Privacy Policy, available at https://memorion.me/privacy. By using the App, you consent to the collection, processing, and storage of your data as described in the Privacy Policy.

7.2 Data Processing

Your data, including audio recordings and conversation transcripts, is processed using third-party services including cloud infrastructure, speech-to-text providers, and AI providers. These services are governed by their respective privacy policies.

7.3 Data Security

We implement reasonable security measures to protect your data. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

8. Intellectual Property

8.1 Our Property

The App, including its design, code, features, trademarks, and all related intellectual property, is owned by Memorion and protected by applicable intellectual property laws.

8.2 Your Content

You retain ownership of your original conversation recordings and any content you create. By using the App, you grant us a limited license to process, store, and analyze your content solely for the purpose of providing the App's services to you.

8.3 AI-Generated Content

AI-Generated Content derived from your conversations is licensed to you for personal use. You may export and share such content at your discretion, subject to this Agreement.

9. Subscriptions and Payments

If the App offers subscription-based features:

  • Subscriptions are billed through Apple's In-App Purchase mechanism
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period
  • You may manage and cancel subscriptions through your device's subscription settings
  • No refunds will be provided for partial subscription periods

10. Termination

10.1 By You

You may stop using the App and delete your account at any time through the App's settings.

10.2 By Us

We may suspend or terminate your access to the App immediately, without prior notice, if you violate this Agreement or if we discontinue the App.

10.3 Effect of Termination

Upon termination, your license to use the App is revoked. We may delete your data in accordance with our Privacy Policy and data retention practices. Sections that by their nature should survive termination will survive.

11. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any AI-generated content.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Memorion and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the App.

Our total liability for all claims arising out of or related to this Agreement shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

13. Apple-Specific Terms

You acknowledge and agree that:

  • This Agreement is between you and Memorion only, not with Apple Inc. ("Apple")
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for any claims relating to the App, including product liability, legal compliance, or intellectual property
  • In the event of any failure of the App to conform to applicable warranties, you may notify Apple for a refund of the purchase price (if any); beyond that, Apple has no warranty obligation
  • Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, Apple will have the right to enforce this Agreement against you as a third-party beneficiary

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to conflict of law principles.

15. Changes to This Agreement

We may update this Agreement from time to time. We will notify you of material changes by posting the updated Agreement within the App or by other reasonable means. Your continued use of the App after such changes constitutes acceptance of the revised Agreement.
