Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Memorion ("Memorion", "Company", "we", "us", or "our") and govern your access to and use of the Memorion mobile application, the Memorion wearable device, our website at https://memorion.me, and any related services, features, and content (collectively, the "Service").
By creating an account, downloading the app, pairing a Memorion device, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy, and our End User License Agreement. If you do not agree, do not use the Service.
1. The Service
Memorion provides an AI-powered memory companion that, when activated by you, captures audio through the Memorion wearable device or your phone, transcribes it, and generates summaries, action items, and structured memories ("AI-Generated Content"). You can review, edit, search, export, and delete this content from the app.
The Service is provided to you for personal, non-commercial use only. We may add, modify, suspend, or remove features at any time without liability to you.
2. Eligibility and Accounts
2.1 Age Requirement
You must be at least 13 years old (or the higher minimum age required in your jurisdiction) to use the Service. If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and accepts responsibility for your use of the Service.
2.2 Account Registration
To use most features you must create an account using Sign in with Apple, Sign in with Google, or an email and password. You agree to:
- Provide accurate, current, and complete information
- Keep your credentials confidential and secure
- Notify us promptly at support@memorion.me of any unauthorized access
- Be responsible for all activity that occurs under your account
We may refuse, suspend, or terminate any account at our sole discretion, including for violations of these Terms.
2.3 Export Compliance
You represent that (a) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
3. Recording Conversations — Your Legal Responsibility
The Service enables you to record, transcribe, and analyze conversations. You alone are responsible for the legality of your recordings.
You agree that you will:
- Obtain informed consent from every participant before recording, where required by law
- Comply with all applicable local, state, national, and international laws governing audio recording, wiretapping, surveillance, and privacy (including "all-party consent" jurisdictions)
- Not use the Service to record persons in any setting where they have a reasonable expectation of privacy without their consent
- Not use the Service to monitor, stalk, harass, or surveil any individual
Memorion is a technology platform; we do not monitor, screen, or verify whether you have obtained the consents required by law. We are not liable for any consequences arising from your failure to comply with applicable recording laws. You agree to indemnify and hold us harmless from any claims arising from your recordings.
4. AI-Generated Content
4.1 Nature and Limits
Summaries, action items, memories, chat replies, and other content produced by the Service's AI features are generated automatically by machine-learning models. You acknowledge and agree that:
- AI-Generated Content may be inaccurate, incomplete, biased, or fabricated ("hallucinated")
- AI-Generated Content is provided for informational and convenience purposes only, on an "as is" basis
- AI-Generated Content does not constitute professional advice — including, without limitation, medical, mental-health, legal, financial, tax, or therapeutic advice — and must not be relied upon for any decision where inaccurate information could cause harm
- You are responsible for reviewing and verifying AI-Generated Content before acting on it
4.2 No Reliance for Critical Decisions
The Service is not intended to diagnose, treat, cure, or prevent any disease, nor to provide legal or financial counsel. If you require professional advice, consult a qualified professional.
5. User Content
5.1 Definition
"User Content" means any audio, text, transcripts, edits, profile data, or other materials you upload, create, or store through the Service, including content derived from your recordings.
5.2 Ownership
You retain all rights you have in your User Content. We do not claim ownership of it.
5.3 License to Memorion
To operate the Service, you grant Memorion a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, transcribe, summarize, index, back up, and otherwise process your User Content solely for the purpose of providing and improving the Service to you. This license terminates when you delete the relevant User Content or your account, except for residual copies retained for a limited period in routine backups, or where retention is required by law.
5.4 No Training
We do not use your personal conversations or User Content to train AI models, and we do not permit our third-party AI providers to do so.
5.5 Your Responsibility
You are solely responsible for your User Content and represent that:
- You have all rights and consents necessary to record, upload, and process it
- It does not violate any law, contract, or third-party right (including privacy, publicity, intellectual property, and confidentiality rights)
- It does not contain content prohibited by Section 6
6. Acceptable Use and Community Guidelines
You agree not to use the Service, and not to permit anyone using your account to use the Service, to:
- Record any person without the consent required by applicable law
- Create, store, transmit, or share content that is sexually explicit, pornographic, or sexually exploitative, including any sexualized depiction of minors
- Harass, bully, threaten, defame, intimidate, or stalk any individual
- Promote, glorify, or incite violence, terrorism, self-harm, suicide, eating disorders, or harm to others
- Promote hate or discrimination against any individual or group based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or similar characteristic
- Engage in unlawful surveillance, blackmail, or extortion
- Impersonate any person or misrepresent your affiliation
- Upload malware, exploits, or content that interferes with the Service or its users
- Reverse engineer, decompile, scrape, or attempt to extract source code or model weights, except to the extent permitted by applicable law
- Resell, sublicense, or commercially exploit the Service without our prior written consent
- Use the Service in a manner that violates any applicable law or regulation, the App Store Terms of Service, or the Google Play Terms of Service
We have zero tolerance for objectionable content and abusive users. We reserve the right (but have no obligation) to review, remove, or restrict access to any content, and to suspend or terminate any account that we believe, in our sole judgment, violates these Terms.
6.1 Reporting Objectionable Content or Abusive Users
You can report objectionable content or abusive behavior at any time using the in-app Report option, or by emailing support@memorion.me with the subject line "Report".
We will:
- Acknowledge and review reports within 24 hours
- Take appropriate action, which may include removing content, restricting features, or suspending or terminating the offending account
- Inform you of the outcome where reasonable
6.2 Blocking Other Users
Where the Service permits interaction between users (e.g., shared spaces, comments, or future social features), you may block any other user directly from the app to prevent further interaction with them.
7. Privacy
Your privacy is critical to us. Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the data practices described there.
The Memorion device records audio only when you activate it. Microphone and Bluetooth permissions are requested with clear, in-context disclosures. You may revoke these permissions at any time in your device settings.
8. Pricing
The Service is currently provided free of charge. We may introduce paid features in the future; if we do, we will present the pricing, billing terms, and any required additional terms to you before you make any purchase, and your existing access will not be affected without notice.
9. Third-Party Services
The Service relies on third-party providers for cloud infrastructure, authentication, speech-to-text, large language models, payment processing, and analytics. These services are governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third parties, but we choose providers that meet appropriate confidentiality and data-protection standards. 10. Intellectual Property
The Service, including software, designs, trademarks, logos, and content we provide, is owned by Memorion or its licensors and is protected by intellectual property laws. Except for the limited rights granted to you under our EULA, no rights or licenses are granted to you by implication, estoppel, or otherwise.
You may not remove, obscure, or alter any proprietary notices in the Service.
11. Feedback
If you send us suggestions, feedback, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation to you.
12. Termination
12.1 By You
You may stop using the Service at any time and delete your account and data from within the app at Settings → Account → Delete Account.
12.2 By Us
We may suspend or terminate your access to the Service, in whole or in part, at any time and without notice, if we reasonably believe that you have violated these Terms, that your use poses a risk to other users or to the Service, or if we are required to do so by law. Where reasonable, we will give you advance notice.
12.3 Effect
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including Sections 3, 4, 5.3–5.5, 6, 9, 10, 13, 14, 15, 16, and 17 — will survive.
13. Disclaimers
The Service and all content, including AI-Generated Content, are provided "as is" and "as available", without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, accurate, reliable, secure, or free of viruses or other harmful components, or that any defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, in which case these exclusions apply to the maximum extent permitted.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Memorion and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or reputation, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow limitations on certain damages, in which case these limitations apply to the maximum extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Memorion and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your recording of any conversation; or (d) your violation of these Terms or any applicable law or third-party right.
16. Apple-Specific Terms
The following terms apply when you access the Service through an iOS application obtained from the Apple App Store:
- These Terms are concluded between you and Memorion only, and not with Apple Inc. ("Apple"). Memorion (not Apple) is solely responsible for the Service and its content.
- The license granted to you for the iOS app is a limited, non-transferable license to use the app on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms.
- Apple has no obligation to furnish maintenance or support for the Service.
- In the event of any failure of the iOS app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the iOS app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Memorion's sole responsibility.
- Memorion (not Apple) is responsible for addressing any claims you or any third party have relating to the iOS app or your use of it, including (i) product-liability claims, (ii) any claim that the iOS app fails to conform to any applicable legal or regulatory requirement, (iii) claims arising under consumer protection, privacy, or similar legislation, and (iv) any claim that the iOS app infringes a third party's intellectual property rights.
- You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
17. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which Memorion is established, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You agree that any dispute arising out of or relating to these Terms or the Service will be resolved on an individual basis, and you waive any right to participate in a class action or class-wide arbitration, to the maximum extent permitted by law.
Nothing in this section limits any non-waivable rights you may have as a consumer under the laws of your country of residence.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email at least seven (7) days before they take effect, unless the changes are required to comply with law or to address a security risk, in which case they may take effect immediately. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may delete your account.
19. Miscellaneous
- Entire Agreement. These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and Memorion regarding the Service and supersede any prior agreements.
- No Waiver. Our failure to enforce any provision is not a waiver of that provision.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them, in whole or in part, to any affiliate or successor.
- Force Majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
- Notices. We may give notice via email, in-app message, or by posting in the Service. You may give notice to us at support@memorion.me.
